To submit your images, audio files and video clips, ("Content"), please read the following terms and conditions and click the checkbox below:

1. You grant to Pacific Telestations, Inc. dba KUAM ("KUAM"), the right and license, (but not the obligation), in perpetuity, throughout the world, in any and all media now known or hereafter devised, to broadcast the Content or any part thereof, on the following: (i) each and every television station and/or radio station owned, operated, programmed and/or controlled by KUAM in whole or in part; and (ii) each and every internet web page located on any website, domain name, sub-domain or URL owned, operated or controlled by KUAM now existing or to be created and however configured for any electronic distribution platform or device. You grant these rights to KUAM free of charge.

2. You represent and warrant that the Content you submit is an original work by you, that you own or control 100% of the rights in and to your Content and the rights granted to KUAM in this license, and such rights are and shall be free and clear of any and all claims, rights and obligations; and that you have the right to grant to KUAM the rights granted to us in this license, you do not require the consent of any third party and that there is no contract with any third party that could in any way interfere with KUAM’s rights under this license or require any payment to be made to anyone by KUAM.

3. You understand that KUAM has not promised or given any assurances as to whether the Content or any portion thereof, will be utilized or broadcasted by KUAM.

4. You understand that KUAM shall not be liable in any way to pay you, nor shall you be entitled to any royalties, residuals, fees, or any other compensation in connection with the Content.

5. You agree that KUAM may cut, edit, modify, add to, subtract from, arrange, rearrange, shorten and revise the Content for any reason and in any manner which KUAM may in its sole discretion determine, including without limitation, for reasons including presentation and time.

6. You hereby release, discharge and hold harmless KUAM, its affiliates, employees, officers, principals, directors, licensees, grantees, successors, assigns and parent, subsidiary and affiliated entities, and the respective officers, directors, employees and representatives of any of the foregoing from and against any and all claims, whether at law or in equity, that you may have at any time, including without limitation, claims for infliction of emotional distress, defamation, false light, misappropriation, invasion of privacy, and claims under equivalent Guam or federal laws arising from the exploitation of any or all of the rights granted to KUAM hereunder.

7. You knowingly and freely assume full responsibility for all risks arising from your preparation of the Content.

8. By submitting the Content to KUAM, you acknowledge and agree that KUAM shall become the sole owner of the Content and in this capacity shall have the right to use your Content in any manner in its sole discretion. KUAM shall have the right to produce, reproduce, reissue, manipulate, reconfigure, license, manufacture, record, perform, exhibit, broadcast, televise, transmit, publish, copy, compile, print, reprint, vend, sell, distribute and use via any other medium now known or hereinafter discovered, and to authorize other to do so, the Content, in perpetuity, in any manner or media and by any art, method or device, now known or hereinafter discovered (including without limitation, by means of videodisc, videocassette, optical, electrical and/or digital compilations).

9. You agree to indemnify and hold KUAM harmless from and against all claims, demands, loss, liability, damages and expenses (including legal fees and disbursements), including actions for infringement of copyright, any third party claim inconsistent with your representations and warranties or otherwise in connection with our use of your Content under the terms of this License, Release and Waiver.

10. You acknowledge that the Content submitted by you is not vulgar, indecent or objectionable.

11. Nothing contained in this License, Release and Waiver shall be construed to constitute you as an employee, partner or joint venturer of KUAM, nor shall you have any authority to bind KUAM in any respect.

12. You acknowledge that you are over the age of 18 and are legally competent to sign this License, Release and Waiver.

13. This License, Release and Waiver operates to the fullest extent permissible by law. If any provision hereof is unlawful, void or unenforceable, that provision is deemed severable from this License, Release and Waiver and does not affect the validity and enforceability of any remaining provisions.

14. This License, Release and Waiver shall be governed and construed in accordance with the laws of Guam, and you expressly and irrevocably submit to the exclusive jurisdiction of the courts of Guam.

I HAVE READ, UNDERSTAND, AND ACKNOWLEDGE AND AGREE TO THE FOREGOING TERMS AND CONDITIONS OF SUBMISSION OF MY CONTENT TO KUAM.
